By accessing our website, contacting us, purchasing, installing, downloading, accessing, or using any Wilgro Software product or service, you agree to these Terms of Service.

Wilgro Software is a South African software and consulting company focused on improving the everyday experience of using Microsoft Dynamics 365 Business Central.

We build lightweight, practical extensions that solve operational problems, improve productivity, and help businesses and consultants work more efficiently.

If there is a conflict between these Terms and a separate written agreement signed by Wilgro Software, the separate written agreement will apply to the extent of the conflict.

Microsoft Dynamics 365 Business Central and Third-Party Platforms

Some Wilgro Software products and services are designed to work with Microsoft Dynamics 365 Business Central and other Microsoft services.

You acknowledge that Microsoft Dynamics 365 Business Central, Microsoft AppSource, Microsoft Marketplace, Microsoft Partner Center, Microsoft Azure, Microsoft 365, and any related Microsoft services are provided by Microsoft, not Wilgro Software.

Your use of Microsoft products and services is subject to Microsoft’s own agreements, licensing terms, privacy statements, security terms, marketplace terms, and service availability.

Wilgro Software is not responsible for:

◦ Microsoft service interruptions
◦ Changes to Microsoft products or APIs
◦ Microsoft licensing requirements
◦ Microsoft account, tenant, or environment issues
◦ Business Central configuration outside our control
◦ Third-party integrations, extensions, or services not supplied by Wilgro Software

Microsoft Marketplace terms also confirm that publishers are responsible for their own offers and privacy practices in relation to data collected by those offers.

Accounts, Access and Permissions

Some products or services may require access to a Microsoft Dynamics 365 Business Central environment, Microsoft tenant, user account, administrator permission, or other business system.

You are responsible for:

◦ Ensuring that you have the authority to install, configure, purchase, or use our products
◦ Managing your own user accounts and permissions
◦ Keeping login details, passwords, and authentication methods secure
◦ Ensuring that only authorised users access your systems
◦ Maintaining appropriate backups and access controls
◦ Complying with your own internal policies and legal obligations

Wilgro Software is not responsible for loss or damage caused by unauthorised access resulting from your failure to secure your own accounts, users, devices, passwords, tenant, or environment.

Licensing and Right to Use

Unless otherwise stated in a separate agreement, invoice, marketplace listing, or product-specific license, Wilgro Software grants you a limited, non-exclusive, non-transferable, revocable right to use our software products and services for your internal business purposes.

You may not:

◦ Sell, resell, rent, lease, sublicense, distribute, or commercially exploit our software without written
permission
◦ Copy or reproduce our software except as allowed by law or by written agreement
◦ Reverse engineer, decompile, disassemble, or attempt to derive the source code of our software, except
where prohibited by applicable law
◦ Remove copyright, trademark, or ownership notices
◦ Use our software to build a competing product
◦ Share access with unauthorised users or third parties
◦ Use our products in a way that breaches these Terms, applicable law, or third-party platform terms

All rights not expressly granted remain reserved by Wilgro Software.

Intellectual Property

All rights, title, and interest in and to Wilgro Software products, software, designs, code, documentation, trademarks, logos, graphics, website content, product names, and related materials belong to Wilgro Software or its licensors.

Nothing in these Terms transfers ownership of any intellectual property to you.

You may not use the Wilgro Software name, logo, branding, screenshots, product names, or materials for marketing, publication, resale, or endorsement purposes without our written permission.

Microsoft, Microsoft Dynamics 365, Business Central, AppSource, Azure, Microsoft 365, and related Microsoft names or marks are trademarks or products of Microsoft Corporation. Wilgro Software is not Microsoft and does not claim ownership of Microsoft trademarks.

Customer Data

You retain ownership of your own business data, customer data, financial data, operational data, and other information stored in your Microsoft Dynamics 365 Business Central environment or provided to us for support or consulting purposes.

Wilgro Software does not claim ownership of your data.

Where we access or process your data for support, consulting, troubleshooting, or product functionality, we will only do so for the purpose of providing the relevant product or service, unless otherwise agreed.

You are responsible for:

◦ The accuracy and legality of your data
◦ Ensuring that you have the right to provide data to us
◦ Managing data access permissions
◦ Maintaining backups
◦ Complying with privacy, employment, tax, accounting, industry, and other legal requirements applicable to
your business

Privacy and Personal Information

Wilgro Software respects privacy and processes personal information in accordance with our Privacy Policy.

South Africa’s Information Regulator states that POPIA aims to protect personal information processed by public and private bodies by introducing conditions for lawful processing.

By using our website, products, or services, you acknowledge that personal information may be collected, used, stored, or processed as described in our Privacy Policy.

You should not send us sensitive, confidential, or unnecessary personal information unless it is required for us to provide support or services.

Support and Maintenance

Support may be provided through email, online forms, documentation, remote meetings, or other agreed support channels.

Unless otherwise agreed in writing, support is provided during normal business hours and on a reasonable-effort basis.

Support may include:

Support does not automatically include:

◦ Custom development
◦ Major implementation work
◦ Full Business Central administration
◦ Microsoft licensing support
◦ Third-party product support
◦ Data cleanup or correction
◦ Training beyond agreed support scope
◦ Emergency or after-hours support

We may request screenshots, error messages, version information, environment details, or additional context to assist with support.

We aim to respond to support requests within a reasonable timeframe, but response times may vary depending on complexity, availability, workload, and the nature of the request.

Consulting Services

Consulting services may include advice, analysis, recommendations, configuration support, process review, software planning, or other Business Central-related guidance.

Unless otherwise agreed in writing, consulting services are provided based on the information available at the time.

You remain responsible for business decisions, implementation choices, internal approvals, financial decisions, operational processes, and compliance obligations.

Any estimated timelines, outcomes, savings, improvements, or benefits are estimates only and are not guaranteed unless expressly agreed in writing.

Fees, Payment and Taxes

Fees for products or services may be set out in a quote, proposal, invoice, marketplace listing, subscription plan, or written agreement.

Unless otherwise stated:

◦ Fees are payable in the currency shown on the invoice or listing
◦ Payment is due by the date stated on the invoice or agreement
◦ Prices may exclude VAT, taxes, bank charges, marketplace fees, or third-party charges
◦ You are responsible for any applicable taxes, duties, charges, or fees
◦ Late payment may result in suspension of services, support, or access

Subscription-based products or services may renew according to the terms of the applicable plan, marketplace, or agreement.

If a product is purchased through Microsoft Marketplace, AppSource, or another third-party platform, payment, billing, cancellation, refunds, and tax handling may be governed by that platform’s terms.

Updates and Changes to Products

We may update, improve, modify, patch, or discontinue products or features from time to time.

Updates may be made to:

◦ Improve reliability
◦ Fix bugs
◦ Enhance securit
◦ Maintain compatibility
◦ Add or remove functionalit
◦ Respond to Microsoft platform changes
◦ Improve user experience

We aim to avoid unnecessary disruption, but we do not guarantee that all features will remain unchanged indefinitely.

You are responsible for ensuring that your environment remains compatible with product updates, Microsoft updates, and applicable technical requirements.

Acceptable Use

You agree not to use our products or services to:

◦ Break any law or regulation
◦ Violate the rights of others
◦ Process data unlawfully
◦ Send spam or malicious content
◦ Interfere with system security or performance
◦ Attempt unauthorised access to any system
◦ Circumvent licensing, billing, or access controls
◦ Reverse engineer or misuse our software
◦ Upload viruses, malware, or harmful code
◦ Use the service in a way that may damage Wilgro Software, Microsoft, customers, or third parties

We may suspend or terminate access where we reasonably believe our products or services are being misused.

Confidentiality

During support, consulting, or business discussions, either party may receive confidential information from the other party.

Confidential information may include business processes, technical details, financial information, customer information, screenshots, system data, product plans, credentials, documentation, or other non-public information.

Each party agrees to take reasonable steps to protect confidential information and not disclose it to third parties unless:

◦ The other party has given permission
◦ Disclosure is required to provide the product or servic
◦ Disclosure is required by la
◦ The information is already public through no fault of the receiving party
◦ Disclosure is made to professional advisers or service providers under confidentiality obligations

Security

We take reasonable steps to protect our systems, products, and information.

However, you acknowledge that no software, network, cloud service, or electronic communication method is completely secure.

You are responsible for maintaining appropriate security in your own environment, including:

◦ Secure passwords
◦ Multi-factor authentication where available
◦ User access reviews
◦ System backups
◦ Endpoint security
◦ Administrator access controls
◦ Tenant and Business Central permissions
◦ Internal policies and staff training

You must notify us promptly if you become aware of any unauthorised access, security issue, or suspected misuse involving our products or services.

Disclaimers

Our website, products, documentation, support, and services are provided on an “as is” and “as available” basis unless otherwise agreed in writing.

To the fullest extent permitted by law, we do not guarantee that:

◦ Our services will be uninterrupted
◦ Every issue will be resolved
◦ Our products will meet every business requirement
◦ Our products will be compatible with every configuration, customization, third-party extension, or future
Microsoft update
◦ The website will always be available or free from defects
◦ Any specific business, financial, operational, or productivity outcome will be achieved

Nothing in these Terms excludes or limits rights that cannot legally be excluded or limited under applicable law.

Limitation of Liability

To the fullest extent permitted by law, Wilgro Software will not be liable for any indirect, incidental, special, consequential, punitive, or similar damages, including but not limited to:

◦ Loss of revenue
◦ Loss of business
◦ Loss of data
◦ Loss of goodwill
◦ Business interruption
◦ System downtime
◦ Loss caused by third-party services
◦ Loss caused by Microsoft service changes or interruptions
◦ Loss caused by user error, configuration error, or unauthorised access

Where liability cannot be excluded, our total liability will be limited to the amount paid by you to Wilgro Software for the specific product or service giving rise to the claim during the three months before the claim arose, unless a different limit is required by law or agreed in writing.

Indemnity

You agree to indemnify and hold Wilgro Software harmless against claims, losses, damages, liabilities, costs, and expenses arising from:

◦ Your breach of these Terms
◦ Your misuse of our products or services
◦ Your unlawful processing of data
◦ Your violation of third-party rights
◦ Your failure to secure your own systems or accounts
◦ Your use of our products in breach of Microsoft or third-party terms
◦ Information, data, or materials you provide to us

Suspension and Termination

We may suspend or terminate access to our products, services, support, or website where:

◦ You breach these Terms
◦ Payment is overdue
◦ We reasonably suspect misuse, fraud, or security risk
◦ Continued access may harm Wilgro Software, Microsoft, customers, or third parties
◦ Required by law, Microsoft, marketplace rules, or third-party platform requirements
◦ A product or service is discontinued

You may stop using our products or services at any time, subject to any applicable agreement, subscription, marketplace, cancellation, or payment terms.

Termination does not affect rights or obligations that should reasonably continue after termination, including payment obligations, confidentiality, intellectual property, disclaimers, limitation of liability, and indemnity.

Third-Party Links and Services
